Terms of Service

These Terms of Service (the "Terms") govern access to and use of the CrediaPeak website, consulting services and any related deliverables (together, the "Services") provided by UK BOPOREA LAMPS AND LANTERNS LIMITED, trading as CrediaPeak ("CrediaPeak", "we", "us" or "our"). By accessing our website or engaging our Services, you agree to be bound by these Terms.

1. Who we work with

Our Services are offered to businesses, professionals, consultancies and public-sector bodies. By using the Services, you confirm that you are acting in a professional capacity and, where you enter into a paid engagement, that you have authority to bind the organisation you represent.

2. Engagements and deliverables

Each paid engagement is documented in a separate engagement letter, statement of work or written proposal signed by both parties. That document controls the scope, fees, timeline and specific deliverables. These Terms fill in around it as the default legal framework.

You agree not to (a) reverse-engineer or attempt to derive source material from our website or deliverables; (b) resell, sublicense or redistribute our written outputs without prior written consent; (c) interfere with the integrity, performance or security of our systems; or (d) use our Services to infringe any third-party right.

4. Deliverables and advice

Our deliverables reflect our professional judgement based on the information supplied and the state of knowledge at the time of delivery. They are prepared for your internal use in connection with the specific engagement and do not constitute legal, tax, medical or financial advice unless expressly stated.

5. Intellectual property

All right, title and interest in our methodologies, templates, models and know-how remain the exclusive property of UK BOPOREA LAMPS AND LANTERNS LIMITED. On payment of fees due, you receive a non-exclusive, non-transferable licence to use client-specific deliverables for your internal business purposes.

6. Confidentiality

Each party will keep confidential the non-public information disclosed by the other during an engagement, use it only for the purposes of that engagement, and protect it with at least the same care applied to its own confidential information (and no less than reasonable care).

7. Fees, invoicing and taxes

Fees, milestones and payment terms are set in the engagement letter. Unless expressly stated, fees are exclusive of applicable sales, use or value-added taxes, which are payable in addition. Invoices are due within 14 days of issue.

8. Warranties and disclaimers

We deliver our Services with the skill and care expected of a competent professional consultancy. To the maximum extent permitted by applicable law, all other warranties, express or implied, are disclaimed. We do not warrant any particular business outcome from following our advice.

9. Limitation of liability

To the maximum extent permitted by applicable law, our aggregate liability arising out of or related to a given engagement is capped at the fees actually paid by you under that engagement in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential or punitive damages, including lost profits or lost data.

10. Indemnification

You will indemnify and hold harmless UK BOPOREA LAMPS AND LANTERNS LIMITED against third-party claims arising from your breach of these Terms or your unlawful use of our Services or deliverables.

11. Term and termination

Each engagement runs for the period stated in its engagement letter. Either party may terminate for material breach that remains uncured after 15 days' written notice. On termination, all fees for work performed up to the effective date fall due, and any client materials in our possession are returned or securely destroyed on request.

12. Governing law and jurisdiction

These Terms and each engagement are governed by the laws of the England and Wales, without regard to its conflict-of-laws provisions. The parties submit to the exclusive jurisdiction of the state and federal courts located in England and Wales, for any dispute arising out of or in connection with these Terms.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email or through a notice on our website. Continued use of the Services after the effective date of an update constitutes acceptance of the revised Terms.
